These Terms of Use are between Persuit (Australia) Operations Pty. Ltd., an Australian corporation ("PERSUIT," "we," or "us"), and the law firm user ("firm user" or "you") accessing the PERSUIT Platform.
The PERSUIT Platform is provided to corporate clients to facilitate the sourcing of external legal services. Firm users access the platform by invitation from PERSUIT's clients to participate in client-initiated requests and, where applicable, to maintain professional profiles visible to clients. Firm+ is a paid enhancement available to firm users that enables enriched lawyer profiles and increased visibility through client search functionality. These Terms of Use govern your access to and use of the platform, including any Firm+ features.
By checking the box and subscribing to Firm+, you agree to these Terms of Use. Your agreement will be recorded at the time of subscription.
1. Definitions
"PERSUIT Platform" means the PERSUIT technology platform, including all features, tools, and interfaces made available to firm users.
"Client users" means the corporate legal department users who access the platform to source legal services.
"Firm+" means the optional paid subscription service that provides enhanced profile features and search visibility.
"Firm content" means all content submitted by firm users through the platform, including proposals, pricing, profile information, and other materials.
"Invitation" means a request sent by a client user to your firm for the purposes of providing information or a proposal to lead a project or matter for the client.
2. Access and Purpose
PERSUIT grants you a limited, non-exclusive, revocable, and non-transferable right to access and use the platform to receive, review, and respond to client requests for proposals and to use Firm+ features where enabled.
Access to the core platform is provided at the direction of PERSUIT's clients. Access to Firm+ features is provided directly to firm users who subscribe to the service.
3. Profiles and Visibility
Your professional profile, including your name, email address, title, firm, location, and areas of expertise, may be displayed to client users, including in searchable lawyer listings and enhanced profiles.
By subscribing to Firm+, you consent to this information being displayed to client users globally for the purpose of facilitating invitations and engagement decisions. You are responsible for ensuring your information is accurate and appropriate.
4. Invitations and Outcomes
Clients may invite you to participate in requests based on their contact lists or platform search functionality. Visibility or inclusion in search results does not guarantee invitations, engagements, or any particular outcome.
5. Data Processing and Privacy
PERSUIT processes personal and professional information to operate the platform, facilitate invitations, and provide Firm+ features.
By subscribing to Firm+, you consent to such processing, including sharing your profile information with client users. You are responsible for ensuring you have the right to provide any information submitted. PERSUIT will process such information in accordance with its stated policies and these terms.
Where PERSUIT processes personal data as a controller, it does so in accordance with its Privacy Statement. You acknowledge that you have been provided access to this Privacy Statement at https://www.persuit.com/privacy.
6. International Data Transfers
The platform operates globally. Your information may be accessed by users in different countries and will be stored and processed in the United States and other jurisdictions that may have different data protection laws. Where personal data is transferred internationally, PERSUIT relies on appropriate transfer mechanisms as described in its Privacy Statement.
7. Firm Content
Content you submit through the platform, including proposals and pricing submitted in response to client requests, is provided into a client-controlled process. Once submitted, access to that content is managed by the relevant client in accordance with their agreement with PERSUIT. You retain intellectual property rights in your submissions but acknowledge that you cannot withdraw or restrict access to content once submitted to a client request.
Profile information submitted as part of Firm+ remains under your control and may be updated or removed at any time in accordance with Section 15.
You represent that you have all necessary rights to provide any content submitted through the platform.
8. Acceptable Use
You must use the platform only for legitimate business purposes and in accordance with applicable law. You must not misuse the platform, interfere with its operation, attempt unauthorized access, or use it to build a competing service. You are responsible for maintaining the security of your account.
9. Confidentiality
You may receive confidential client information and must use it only for responding to requests and protect it from unauthorized disclosure.
PERSUIT will treat firm content, including proposals, pricing, and related materials, as confidential. PERSUIT will share firm content only with the client users associated with the relevant request and will not disclose it to other firms or unrelated third parties, except as required to operate the platform or as required by law.
10. Security
PERSUIT implements appropriate security measures to protect platform data. You are responsible for maintaining security within your own systems and must report any suspected unauthorized access.

11. Aggregated Data
PERSUIT may use anonymized and aggregated data to operate, improve, and develop its services, provided that no individual or firm is identified. Aggregated data may include anonymized market benchmarks derived from platform activity, such as pricing trends and matter characteristics. This data is used to improve the platform and provide market insights, and is never presented in a way that would identify a specific firm or its submissions.
12. Artificial Intelligence Features
The platform may include AI-powered features to support workflows, analysis, or content generation. These features are provided for informational purposes only and do not constitute legal advice.
Outputs may be incomplete or inaccurate, and you are responsible for reviewing and validating them. PERSUIT does not use your data to train generative AI models and processes such data without retaining it after the relevant processing is complete.
13. Availability and Changes
The platform is provided as a continuously evolving service and may be modified, interrupted, or updated. PERSUIT will use reasonable efforts to provide notice of material changes that affect firm users, including changes to Firm+ features, profile visibility, or data processing practices.
14. Suspension
Access may be suspended or revoked if use of the platform violates these terms or poses a risk to security, availability, or lawful operation. PERSUIT will use reasonable efforts to provide notice prior to suspension, except where immediate action is necessary to protect the platform, its users, or third parties.
15. Firm+ Subscription
Firm+ is a monthly subscription service. Subscriptions renew automatically each month unless cancelled prior to the renewal date. Fees are charged in accordance with the pricing in effect at the time of subscription.
You may cancel your Firm+ subscription at any time. Upon cancellation, your enhanced profile will no longer be displayed to clients at the end of the current billing period. Fees already paid for the current billing period are non-refundable.
Following cancellation, PERSUIT will retain your profile data for a reasonable period to allow for reactivation. You may request deletion of your profile data by contacting PERSUIT.
PERSUIT will provide at least 30 days' notice of any changes to Firm+ pricing. Continued use of Firm+ after a price change constitutes acceptance of the new pricing.
16. Intellectual Property
PERSUIT retains all rights in the platform. No rights are granted other than those expressly set out in these terms.
17. Firm Responsibility and Indemnity
You are responsible for the content you submit to the platform, including proposals, profile information, and other materials.
You agree to indemnify and hold harmless PERSUIT from any third-party claims arising from your content, including claims that such content infringes intellectual property rights, violates applicable law, or breaches confidentiality obligations.
18. Disclaimer and Liability
The platform and all features, including AI functionality, are provided for informational and business process support purposes only and do not constitute legal or professional advice.
The platform is provided on an as-is and as-available basis. PERSUIT does not warrant that the platform will be uninterrupted, error-free, secure, or free from harmful components, or that any outputs will be complete, accurate, or fit for a particular purpose.
To the maximum extent permitted by law, PERSUIT disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, PERSUIT is not liable for any indirect, incidental, or consequential damages arising from use of the platform. In no event will PERSUIT's total aggregate liability under these terms exceed the fees paid by you to PERSUIT in the twelve months preceding the claim.
19. Term and Termination
These terms are effective when you first access or use the platform and remain in effect until terminated. You may stop using the platform at any time. PERSUIT may terminate your access upon notice if you breach these terms or if the client that invited you discontinues its use of the platform.
Sections 7 (Firm Content), 9 (Confidentiality), 11 (Aggregated Data), 17 (Firm Responsibility and Indemnity), 18 (Disclaimer and Liability), and 21 (Governing Law) survive termination.
20. Modifications
PERSUIT may update these terms from time to time. Material changes will be communicated to firm users via email or through the platform. Continued use of the platform after such notice constitutes acceptance of the updated terms.
21. Governing Law
These terms are governed by the laws of Victoria, Australia, and disputes are subject to the exclusive jurisdiction of the courts of Victoria, Australia.
