These Terms of Use are between Persuit (Australia) Operations Pty. Ltd., an Australian corporation (“PERSUIT,” “we,” or “us”), and the individual subscriber (“subscriber” or “you”) accessing Persi OnDemand.
Persi OnDemand is a self-serve subscription service offered by PERSUIT that gives in-house legal leaders access to PERSUIT’s pricing benchmarks, law firm network, request-for-proposal workflow, proposal analysis, and invoice review capabilities, supported by the Persi AI agent. These Terms of Use govern your access to and use of Persi OnDemand.
By providing payment details and activating a Persi OnDemand subscription or free trial, you agree to these Terms of Use. Your agreement will be recorded at the time of activation.
1. Definitions
“Persi OnDemand” means the self-serve subscription service offered by PERSUIT, including the Persi AI agent and all features, tools, and interfaces made available to subscribers.
“Persi” means the AI agent within Persi OnDemand that assists you with benchmarking, sourcing, request workflows, proposal analysis, and invoice review.
“PERSUIT Platform” means the broader PERSUIT technology platform on which Persi OnDemand is delivered, including the network of participating law firms.
“Firm users” means the law firm users who access the PERSUIT Platform to respond to your requests.
“Subscriber content” means all content submitted by you through Persi OnDemand, including matter details, briefing materials, quotes, invoices, and other materials.
“Request” means a request for legal services or proposals initiated by you, or by Persi on your behalf, through Persi OnDemand.
“Trial period” means the 30-day evaluation period beginning on activation during which no subscription fees are charged.
2. Access and Purpose
PERSUIT grants you a limited, non-exclusive, revocable, and non-transferable right to access and use Persi OnDemand for your internal business use as an in-house legal leader, including initiating requests, reviewing firm responses, and engaging firms.
Persi OnDemand is provided on a per-user basis. Each subscription entitles a single named individual to access the service. You may not share account credentials or allow others to use your account.
Each Persi OnDemand plan is subject to a limit of five (5) Requests (Request for Proposals or RFP) per subscription year and a maximum of five (5) individual subscriber accounts per organization. Requests that are initiated but withdrawn or cancelled before firms are invited do not count toward the annual limit.
3. Trial and Subscription
Persi OnDemand begins with a 30-day free trial. A valid payment method is required to activate the trial. You will not be charged during the trial period and may cancel at any time before the end of day 30 without incurring fees.
Unless you cancel before the end of the trial period, your subscription will automatically convert to the paid plan you selected at activation and your payment method will be charged the applicable subscription fee.
Subscriptions are billed monthly or annually depending on the plan you select. Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. Fees are charged in accordance with the pricing in effect at the time of subscription or renewal.
You may cancel your subscription at any time from your account settings. Upon cancellation, your access to Persi OnDemand will continue until the end of the current billing period, after which access will end. Fees already paid for the current billing period are non-refundable.
PERSUIT will provide at least 30 days’ notice of any changes to Persi OnDemand pricing. Continued use of Persi OnDemand after a price change constitutes acceptance of the new pricing.
4. Use of the Persi AI Agent
Persi is an AI agent that performs tasks at your direction, including drafting requests, communicating with firms, analyzing proposals, and reviewing invoices. By using Persi OnDemand, you authorize Persi to act on your behalf within the scope of the tasks you initiate.
You remain solely responsible for the decisions you make using Persi OnDemand, including the selection and engagement of any law firm and any commitments made to firms. Persi outputs are provided for informational and business process support purposes only and do not constitute legal advice.
Outputs may be incomplete or inaccurate, and you are responsible for reviewing and validating them before acting.
5. Requests and Outcomes
You may initiate requests to firms drawn from the PERSUIT Platform network, from your own contacts, or from firms identified by Persi. PERSUIT does not select, recommend, or vouch for any particular firm, and any decision to engage a firm rests solely with you.
Submission of a request does not guarantee responses, engagements, pricing, or any particular outcome. Any engagement of a firm following a request is a separate matter between you and the firm; PERSUIT is not a party to that engagement.
6. Benchmarks and Market Insights
Persi OnDemand provides pricing benchmarks and market insights derived from anonymized and aggregated data from the PERSUIT Platform. Benchmarks reflect ranges and estimates and may not reflect the specific circumstances of your matter. Benchmark accuracy varies by matter type, jurisdiction, and the depth of available data, and Persi will indicate confidence levels where reasonably practicable.
Benchmarks and insights are provided for informational purposes only and do not constitute legal or financial advice or a guarantee of any particular pricing outcome.
7. Data Processing and Privacy
PERSUIT processes personal and professional information to operate Persi OnDemand, facilitate requests, and provide the service’s features.
By subscribing to Persi OnDemand, you consent to such processing. You are responsible for ensuring you have the right to provide any information submitted, including any personal data or confidential information of third parties. PERSUIT will process such information in accordance with its stated policies and these terms.
Where PERSUIT processes personal data as a controller, it does so in accordance with its Privacy Statement. You acknowledge that you have been provided access to this Privacy Statement at https://www.persuit.com/privacy.
8. International Data Transfers
Persi OnDemand operates globally. Your information may be accessed by users in different countries and will be stored and processed in the United States and other jurisdictions that may have different data protection laws. Where personal data is transferred internationally, PERSUIT relies on appropriate transfer mechanisms as described in its Privacy Statement.
9. Subscriber Content
Content you submit through Persi OnDemand, including matter details, briefing materials, quotes, and invoices, is used to provide the service to you, to facilitate requests you initiate, and to generate benchmarks and insights in anonymized and aggregated form.
When you initiate a request, the relevant subscriber content you choose to share is made available to the firm users you invite to respond. You retain intellectual property rights in your submissions but acknowledge that, once shared with an invited firm, you cannot fully recall the content from that firm’s records.
You represent that you have all necessary rights to provide any content submitted through Persi OnDemand and that submission of such content does not breach any duty of confidentiality you owe to third parties.
10. Acceptable Use
You must use Persi OnDemand only for legitimate business purposes and in accordance with applicable law. You must not misuse the service, interfere with its operation, attempt unauthorized access, use it to build a competing service, or use it on behalf of any party other than yourself or your employer.
You are responsible for maintaining the security of your account and the confidentiality of your credentials. You must promptly report any suspected unauthorized access.
11. Restrictions on Reverse Engineering and Data Extraction
You must not, and must not permit any third party to:
(a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, models, methodologies, or underlying data structures of Persi OnDemand, the Persi AI agent, or the benchmarks, except to the extent this restriction is prohibited by applicable law;
(b) scrape, crawl, harvest, or use any automated means, including bots, scripts, or AI agents not provided by PERSUIT, to access, extract, copy, or compile content from Persi OnDemand;
(c) extract, copy, aggregate, or compile benchmarks, pricing data, firm information, proposal content, or any other data obtained through Persi OnDemand into a separate database, dataset, product, or service, whether for your own use or for distribution to third parties;
(d) use Persi OnDemand, the benchmarks, or any outputs to build, train, evaluate, fine-tune, or improve any product, service, dataset, or model that competes with PERSUIT or Persi OnDemand;
(e) resell, sublicense, syndicate, publish, or otherwise commercially redistribute the benchmarks or any outputs of Persi OnDemand;
(f) bulk export or systematically download data from Persi OnDemand, except using the export functionality that PERSUIT expressly makes available to you and only for your internal business use; or
(g) remove, obscure, or alter any proprietary notices, attributions, watermarks, or markings displayed within Persi OnDemand or its outputs.
Benchmarks, market insights, and other outputs of Persi OnDemand may be used internally within your organization to inform decisions about engaging external counsel. Any other use, including any external publication or disclosure of benchmark values, requires PERSUIT’s prior written consent.
12. Confidentiality
Firm responses, including proposals, pricing, and related materials, are confidential. You must use such information only for the purpose of evaluating responses and engaging firms, and must protect it from unauthorized disclosure.
PERSUIT will treat subscriber content as confidential. PERSUIT will share subscriber content only with the firm users you invite to respond and as otherwise necessary to operate Persi OnDemand, and will not disclose it to other subscribers or unrelated third parties, except as required by law.
13. Security
PERSUIT implements appropriate security measures to protect Persi OnDemand data. You are responsible for maintaining security within your own systems and must report any suspected unauthorized access.

14. Aggregated Data
PERSUIT may use anonymized and aggregated data to operate, improve, and develop its services, including to power benchmarks and market insights, provided that no individual, subscriber, or firm is identified. Aggregated data may include anonymized market benchmarks derived from platform activity, such as pricing trends and matter characteristics. This data is never presented in a way that would identify a specific subscriber, firm, or submission.
15. Artificial Intelligence Features
Persi OnDemand includes AI-powered features, including the Persi AI agent, to support workflows, analysis, and content generation. These features are provided for informational purposes only and do not constitute legal advice.
Outputs may be incomplete or inaccurate, and you are responsible for reviewing and validating them. PERSUIT does not use your data to train external generative AI models and processes such data without retaining it for model training purposes after the relevant processing is complete.
As part of providing Persi OnDemand, PERSUIT monitors and reviews prompt inputs submitted to the Persi AI agent and the AI outputs generated in response. This monitoring is conducted for quality assurance, safety, abuse prevention, debugging, performance evaluation, and service improvement purposes. Reviewed material may be examined by authorized PERSUIT personnel and by automated systems, and will be handled in accordance with PERSUIT’s confidentiality obligations under these terms and its Privacy Statement.
16. Availability and Changes
Persi OnDemand is provided as a continuously evolving service and may be modified, interrupted, or updated. PERSUIT will use reasonable efforts to provide notice of material changes that affect subscribers, including changes to Persi OnDemand features, available capabilities, or data processing practices.
17. Suspension
Access may be suspended or revoked if use of Persi OnDemand violates these terms or poses a risk to security, availability, or lawful operation. PERSUIT will use reasonable efforts to provide notice prior to suspension, except where immediate action is necessary to protect the platform, its users, or third parties.
18. Intellectual Property
PERSUIT retains all rights in Persi OnDemand, including the Persi AI agent, the underlying technology, benchmarks, and aggregated data. No rights are granted other than those expressly set out in these terms.
19. Subscriber Responsibility and Indemnity
You are responsible for the content you submit to Persi OnDemand, including requests, briefing materials, quotes, invoices, and other materials, and for the decisions you make using Persi OnDemand.
You agree to indemnify and hold harmless PERSUIT from any third-party claims arising from your content or your use of Persi OnDemand, including claims that such content infringes intellectual property rights, violates applicable law, or breaches confidentiality obligations.
20. Disclaimer and Liability
Persi OnDemand and all features, including AI functionality and benchmarks, are provided for informational and business process support purposes only and do not constitute legal or professional advice.
Persi OnDemand is provided on an as-is and as-available basis. PERSUIT does not warrant that the service will be uninterrupted, error-free, secure, or free from harmful components, or that any outputs, benchmarks, or recommendations will be complete, accurate, or fit for a particular purpose.
To the maximum extent permitted by law, PERSUIT disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, PERSUIT is not liable for any indirect, incidental, or consequential damages arising from use of Persi OnDemand. In no event will PERSUIT’s total aggregate liability under these terms exceed the fees paid by you to PERSUIT in the twelve months preceding the claim.
21. Term and Termination
These terms are effective when you first activate a Persi OnDemand subscription or trial and remain in effect until terminated. You may stop using Persi OnDemand and cancel your subscription at any time in accordance with Section 3.
PERSUIT may terminate your access upon notice if you breach these terms or if PERSUIT discontinues Persi OnDemand.
Sections 9 (Subscriber Content), 11 (Restrictions on Reverse Engineering and Data Extraction), 12 (Confidentiality), 14 (Aggregated Data), 18 (Intellectual Property), 19 (Subscriber Responsibility and Indemnity), 20 (Disclaimer and Liability), and 23 (Governing Law) survive termination.
22. Modifications
PERSUIT may update these terms from time to time. Material changes will be communicated to subscribers via email or through Persi OnDemand. Continued use of Persi OnDemand after such notice constitutes acceptance of the updated terms.
23. Governing Law
These terms are governed by the laws of Victoria, Australia, and disputes are subject to the exclusive jurisdiction of the courts of Victoria, Australia.
